Prompt Neurons Monthly Franchise Fee

MEMORANDUM OF UNDERSTANDING

Intent to form franchise agreement within 90 days.

Engagement: Co-development and mutual use of an integrated financial optimization and privacy-preserving software system, combining {Customer’s agreed contribution} with PN’s software architecture and privacy infrastructure.

Franchise period: March 1, 2026 to March 1, 2027

Monthly fee: $500.00 USD, due on the 10th of each month in advance, starting March 10, 2026

Cancellation: Prospective Franchisee may cancel with written notice conveyed before the 1st of any month. No further payment is due after that month.

Intent: Both parties intend to form a formal Franchise Agreement within 90 days of this MOU.

**Consideration**

In consideration of work already done by both parties, work on the mutual project will continue immediately upon receipt of first payment. Payment of the first invoice confirms this agreement. No separate signature is required

**What Each Party Contributes**

PROMPT NEURONS, LLC: Software architecture and engineering standards; privacy infrastructure (local stack, data never leaves the box); translation of {Customer’s Contribution} into a deliverable system; protocol and playbook for client delivery.

{Customer}: Determined during first month

**Confidentiality**

Both parties treat the other’s methodology, client relationships, and business processes as confidential. Neither shares the other’s materials without written consent.

Invoice serves as the formal record of this agreement upon payment.

This invoice will be billed monthly unless cancelled in advance as described above.  Payments are not refundable.
